Advanced Replacement Terms

The Advanced Replacement Program (the “Program”) allows you to receive a replacement device for a product under warranty more quickly than under the standard warranty process. Your participation in the Program is governed by both the Meta Terms of Sale, including the Limited Warranty terms and any other applicable warranty terms, and these Advanced Replacement Terms (“Advanced Replacement Terms”), which together form an agreement (“Advanced Replacement Agreement” or “Agreement”) between you and Meta Platforms Technologies, LLC ("Meta" or "we" or "us" or "our"). If there is any conflict between these Advanced Replacement Terms and the Meta Terms of Sale and applicable warranty terms, these Advanced Replacement Terms will govern. Nothing in these Advanced Replacement Terms limits any of our rights under the Meta Terms of Sale or any additional terms that they reference.
PLEASE READ THESE ADVANCED REPLACEMENT TERMS CAREFULLY AND IN FULL. THEY CONTAIN CONDITIONS AND RESTRICTIONS ON THE PROGRAM AND INFORMATION ON WHAT HAPPENS IF YOUR PRODUCT IS NOT COVERED BY A WARRANTY OR YOU FAIL TO TIMELY RETURN YOUR ELIGIBLE PRODUCT, INCLUDING WHEN YOU CAN BE CHARGED FOR THE PRICE OF THE REPLACEMENT PRODUCT WE SEND YOU, INCLUDING TAXES.
“Products” refers to eligible Meta products that are under warranty, eligible for a return as set forth in the Terms of Sale and applicable warranty terms, and approved for exchange under this Program.
By participating in the Program, you agree to be bound by this Advanced Replacement Agreement and represent and warrant that you have the right, authority, and capacity to enter into this Agreement with us. If you do not agree to this Agreement, do not participate in the Program. If you are returning a Product on behalf of an entity, you further represent that such entity is a valid legal entity in the jurisdiction in which it was formed, and that you have the authority to enter into this Agreement on behalf of your entity and bind such entity to this Agreement.
We reserve the right to change or modify these Advanced Replacement Terms on a going-forward basis at any time and in our sole discretion. If we make changes to these Advanced Replacement Terms, we will provide notice of such changes as appropriate, such as by sending an email notification to the address you’ve provided. If we make an administrative change, we may provide notice by updating the "Last Updated" date at the top of these Advanced Replacement Terms.
Your continued participation in the Program will confirm your acceptance of the revised Advanced Replacement Terms. If you do not agree to the revised Terms, you must stop participating in the Program. We encourage you to review these Advanced Replacement Terms from time to time to ensure you understand the terms and conditions that apply to your participation in the Program.
Replacement Request/Acknowledgment
To participate in the Program, the Product you wish to return must be under warranty by Meta’s Limited Warranty, Meta Warranty Plus or other applicable warranty. You must provide all information requested by us to complete the request, including providing the serial number or other required identifying information of the Product you wish to replace (the “Returned Product”) and a valid credit card. You agree that we may store your credit card information for purposes of the Program as described in these Advanced Replacement Terms, however, we will not charge your credit card unless (1) the device you send us is not covered by a warranty or (2) you fail to timely return the Returned Product, in either case we will charge your credit card for the price of the replacement Product (the “Replacement Product”) shipped to you plus applicable taxes (the “Replacement Product Cost”). You may be required to pay the cost of shipping the Returned Product to us. After you have provided all necessary information, we will provide a shipping label for you to ship the Returned Product to us.
After you request a replacement, you will receive a communication from us acknowledging that we have received your request and/or it is processing ("Replacement Acknowledgement"). Please note that a Replacement Acknowledgment does not mean that your request has been accepted or that there is sufficient inventory on hand to fulfill your request. Any delivery dates or times provided by us (or a courier) are estimates only and are not guaranteed.
At any time prior to replacement acceptance, we reserve the right to decline or reject your request. If this occurs, we will attempt to notify you through email or other reasonable means. Some reasons for rejection may include: (a) we are unable to supply you with the Replacement Product, for example because the Replacement Product is no longer available; (b) you request shipment to an address outside the United States, or to another address to which we do not ship; or (c) the Product you wish to return is not under warranty and/or otherwise eligible for a return under the standard return processes.
Returning the Replacement Product
We typically ship the Replacement Product to you within 2-4 business days, barring any unforeseen circumstances. You are responsible for following the instructions we provide for sending the Returned Product to us and ensuring the Returned Product is received by us within 45 days after the date of the Replacement Acknowledgement. You are encouraged to send the Returned Product promptly after receiving the shipping label. If we do not receive your Returned Product within 45 days after the date of the Replacement Acknowledgement or if the Returned Product is not covered by warranty, we reserve the right to charge your credit card for the Replacement Product Cost. By participating in the Program, you certify that you are authorized to use the credit card you provide to us, and that such credit card will remain valid and in good-standing and will have sufficient credit to cover the Replacement Product Cost, until we receive the Returned Product as required under these Advanced Replacement Terms. If you fail to return the Returned Product as required under these Advanced Replacement Terms or if the device you send us is not covered by warranty, you authorize us to charge your credit card for the Replacement Product Cost and agree not to take any action that would prevent us from doing so, including suspending or closing your credit card account or initiating a chargeback or other dispute with your credit card issuer in connection with such authorization.
You are responsible for resolving any problems we encounter in connection with your credit card, and you acknowledge and agree that we may make more than one attempt to charge your credit card to meet your payment obligations.
We may provide you with one or more updates and reminders as a courtesy, however you understand and agree that any such communications are a courtesy only and you are solely responsible for ensuring you return your Returned Product to us within the time required.
Limited Shipping Territory
Replacement Products requested through the Program will only be shipped to addresses located within the United States (excluding freight forwarders, P.O. Boxes, and U.S. Territory addresses).
Legal Title and Risk of Loss
You represent and warrant that you have the legal title to all Returned Products you submit for replacement through the Program, that the Returned Products are not counterfeit or stolen, and that your submission of them complies fully with the Advanced Replacement Terms. We will not return any Products shipped to us under the Program, including if any devices were submitted in error.
We may suspend or cancel your participation in the Program at any time in our sole discretion, including without limitation if you submit Products that are counterfeit or stolen or constitute a similar fraudulent act. Our failure to insist upon or enforce your strict compliance with these Advanced Replacement Terms will not constitute a waiver of any of our rights.
